Charter dated January 27, 1999, changed on February 27, 2009

§ 1

The "FÖRDERVEREIN für Bildende Kunst“ pursues the charitable purpose of promoting the fine arts, in particular the Recklinghausen Municipal Museums. This purpose is to be achieved in particular through organisational, content-related, financial and non-material support. For example, purchases can be made or supported, exhibitions can be organised or promoted. The association sees itself in particular as an intermediary for grants, donations and sponsorship.

§ 2

The association is selflessly active; it does not pursue its own economic purposes.

§ 3

The association's funds may only be used for the purposes set out in the articles of association. Members shall not receive any benefits from the Association's funds. No person may be favoured by expenses that are alien to the purpose of the association or by disproportionately high remuneration.

§ 4

The „FÖRDERVEREIN für Bildende Kunst“ is entered in the register of associations. The association is based in Recklinghausen. The administration of the municipal museums acts as the office.

§ 5

The financial year of the Association shall be the calendar year.

§ 6

The bodies of the Association are

§ 7

Anyone who is committed to the purpose stated in § 1 can become a member of the association. Corporate membership is possible. The Executive Board decides on membership. Membership is cancelled by written declaration of the member. This declaration must be received by the management no later than six weeks before the end of the calendar year.

§ 8

The Executive Board consists of the Chairperson, the Deputy Chairperson, the Managing Director and a Trustee. The association is represented by the chairperson and the managing director, who are each authorised to sign and represent the association alone. The Executive Board is elected by the General Assembly for a term of four years. Re-election is permitted. The Chairperson convenes the meetings of the Executive Board and the General Meeting, chairs them and determines the respective agenda.

§ 9

The general meeting should take place once a year, but must be held at least every second year. Extraordinary general meetings shall be convened by the Executive Board if the interests of the Association so require or if more than one tenth of the members so request. The General Meeting shall be convened by the Executive Board at least 14 days in advance by written invitation, stating the place, time and agenda, and shall discuss and pass resolutions on: a) the annual report, b) the statement of accounts, c) the discharge of the Executive Board, d) the election and dismissal of the Executive Board, e) amendments to the Articles of Association, f) the setting of membership fees, g) proposals from the Executive Board and motions from members, h) the dissolution of the Association. The General Meeting shall constitute a quorum if it has been duly convened. Important motions, especially those that can only be passed by a two-thirds majority, must be communicated to the members in the invitation to the General Meeting. Minutes must be taken of each General Meeting and authenticated by the chairperson of the meeting and the Managing Director.
